Terms of Service

This Terms and Conditions (“Terms”) is a legally binding contract between you, or the person or entity you represent (“User,” “you,” or “your”), and HiSunrise Limited (“Company,” “we,” “us,” or “our”), regarding your purchase and use of our eSIM products and associated services (collectively, the “Service”).

Please read this Terms carefully. By using or continuing to use a Service, you accept and consent to the rights, obligations, and practices described in this Terms.

As a condition of using our Service, you expressly affirm that:

  1. You are lawfully able to enter into this Terms in the jurisdiction where you reside.
  2. You are authorized to enter into this Terms on your own behalf or on behalf of any entity you represent.
  3. You consent to the application of the laws of the Singapore, for dispute resolution.
  4. You are responsible for ensuring your contact and billing information is accurate at all times.
  5. You consent to resolve all disputes individually, in accordance with Section 11 of this Terms.

1. Definitions

  • “Account” means the online portal provided by the Company for you to register and manage the Services.
  • “Covered Users” collectively means you, your representatives, and any end users you permit to use the Service via your Account or Device.
  • “Device” means your personal mobile device (e.g., smartphone, tablet) that is eSIM-compatible and carrier-unlocked.
  • “eSIM” means an embedded SIM card or digital subscription that allows a Device to connect to mobile networks.
  • “Intellectual Property” means any and all tangible or intangible property, including copyrights, trademarks, patents, trade secrets, methods, procedures, and designs.
  • “Platform” means our website, mobile application, and any other online interfaces through which the Service is offered.
  • “Service” means our eSIMs, Data Plans, and any other cloud hosting services, computing resources, and related support made available by the Company.
  • “Supplemental Policies” means any policies governing the use of the Service, including our Acceptable Use Policy, Privacy Policy, and Refund Policy, each of which is incorporated into this Terms by reference.

2. The Service

2.1. License.

Subject to this Terms, we grant you a limited, time-bound, revocable, non-exclusive, non-transferable license to use the Services for your personal or business purposes.

2.2. Availability.

The Service is provided on an “as-is” and “as-available” basis. Service quality and availability may be affected by factors beyond our control, including third-party network outages, atmospheric conditions, or scheduled maintenance.

2.3. Support.

We provide complimentary standard technical support for the as-is operations of the Service via our designated support channels.

3. User Obligations and Responsibilities

3.1. General Use.

You are solely responsible for all activities affiliated with your Account and the use of the Services by all Covered Users. You must ensure all Covered Users comply with this Terms and all Supplemental Policies. A breach of this Terms by any Covered User will be deemed a breach by you.

3.2. Device Compatibility.

You are solely responsible for ensuring your Device is eSIM-compatible and carrier-unlocked. We do not offer refunds on the basis that your device is not compatible or is locked.

3.3. Acceptable Use.

You agree not to use, or permit others to use, the Service in a manner that:

  • Violates any applicable law or regulation.
  • Is fraudulent, abusive, or irresponsible.
  • Impairs the security, performance, or integrity of the Service or underlying networks.
  • Infringes on the Intellectual Property rights of any third party.
  • Involves reselling, sublicensing, or distributing the Service without our express written permission.
  • Attempts to reverse-engineer, decompile, or otherwise discover the source code of our Platform or Service.
  • Engages in activities such as spamming, phishing, or transmitting viruses or other malicious code.

3.4. Trade Restrictions.

You shall not use or transfer the Services in any manner that would cause you or the Company to breach any applicable U.S. trade control laws, sanctions, or regulations.

4. Fees, Payment and Prices

4.1 Agreement

By completing a purchase on the EsimNum Platform, you enter into a binding sales agreement with EsimNum, governed by these Terms of Service and Policies.

4.2 Prepayment.

All Services are sold on a prepaid basis. Fees cover the upfront provisioning of network resources for the specified duration. EsimNum may offer time-limited trial access to selected plans or features at no charge. Eligibility, duration, and feature scope are determined solely by EsimNum and may be subject to additional restrictions.

4.3 Fees.

All fees—including one-time purchases, data top-ups, or subscriptions—are charged at the time of transaction using your selected payment method. You authorize EsimNum and its authorized payment processors to collect all applicable fees, including taxes, duties, and surcharges.

4.4 Payment Methods.

EsimNum accepts major credit/debit cards, digital wallets, and platform-specific billing options. You are responsible for complying with the terms of any third-party payment provider and for all charges incurred.

4.5 Security.

EsimNum does not store payment credentials. All financial information is securely processed and stored exclusively by licensed third-party payment providers.

4.6 Pricing.

Prices, plan availability, and tax obligations may vary by jurisdiction and are subject to change prior to purchase. A full cost breakdown, including VAT and any applicable regional surcharges, will be provided before you confirm your transaction.

5. Intellectual Property

5.1. Our Property.

We retain all right, title, and interest in and to our Platform, Services, and all related Intellectual Property.

5.2. Feedback.

If you provide us with any suggestions, comments, or other feedback regarding the Services (“Feedback”), you hereby grant us a universal, royalty-free, perpetual, irrevocable license to use, incorporate, and otherwise exploit such Feedback for any purpose, without any obligation or compensation to you.

6. Confidentiality

You agree not to disclose any non-public information we provide to you that is marked as confidential or would reasonably be considered confidential, except as required by law.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YOU, ON BEHALF OF ALL COVERED USERS, ARE ACCEPTING THE SERVICES WITH ALL FAULTS, WHETHER OR NOT IMMEDIATELY APPARENT. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS REPRESENTATIVES:

  1. EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE;
  2. DO NOT WARRANT THAT THE SERVICES WILL BE TIMELY, UNINTERRUPTED, SECURE, OR ERROR-FREE; AND
  3. ARE NOT RESPONSIBLE OR LIABLE FOR THE DELETION OF, OR FAILURE TO STORE, ANY DATA.

YOU EXPRESSLY ACKNOWLEDGE THAT THE SERVICES ARE NOT DESIGNED OR INTENDED FOR USE IN HIGH-RISK ACTIVITIES WHERE FAILURE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE ENVIRONMENTAL DAMAGE.

8. Limitation of Liability

8.1. INDIRECT DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST REVENUE OR LOST DATA, ARISING OUT OF OR RELATED TO THIS Terms OR THE SERVICES.

8.2. AGGREGATE LIABILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ANY AND ALL CLAIMS ARISING FROM THIS Terms SHALL NOT EXCEED 1,000 DOLLARS.

8.3. Exclusions.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO YOUR INDEMNIFICATION OBLIGATIONS OR YOUR PAYMENT OBLIGATIONS.

9. Indemnification

You shall defend, indemnify, and hold harmless the Company, its affiliates, and representatives from any and all claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. your breach of this Terms or any Supplemental Policy;
  2. any Covered User’s use of the Services; or
  3. your violation of any law or the rights of a third party.

10. Term and Termination

10.1. Term.

This Terms commences upon your first use of the Service and continues until terminated.

10.2. Termination.

We may suspend or terminate your access to the Services immediately if we reasonably believe you are in breach of this Terms. You may terminate this Terms by ceasing all use of the Services and closing your Account.

10.3. Survival.

Sections 5, 7, 8, 9, 11, and 12 shall survive any termination or expiration of this Terms.

11. Dispute Resolution, Governing Law, and Jurisdiction

11.1. Governing Law.

This Terms and any dispute arising from it shall be governed by the laws of the Singapore, without regard to its conflict of laws principles.

11.2. Mandatory Arbitration.

The parties will attempt to resolve any dispute through good-faith negotiation within thirty (30) days. If unresolved, the dispute shall be resolved by final and binding arbitration administered by the Singapore International Arbitration Association.

11.3. CLASS ACTION WAIVER.

YOU AGREE THAT ANY AND ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY ABILITY TO MAINTAIN A CLASS ACTION IN ANY FORUM.

11.4. JURY TRIAL WAIVER.

EACH PARTY IRREVOCABLY AND UNCONDITIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL ACTION OR PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THIS Terms.

12. General Provisions

12.1. Entire Terms.

This Terms, including all Supplemental Policies incorporated by reference, constitutes the entire Terms between you and the Company and supersedes all prior understandings.

12.2. Modifications.

We may modify this Terms from time to time. We will notify you of material changes. Your continued use of the Service after such changes become effective constitutes your acceptance of the new terms.

12.3. Severability.

If any provision of this Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.4. Assignment.

You may not assign this Terms without our prior written consent. We may assign this Terms at any time without notice to you.

12.5. Force Majeure.

Neither party will be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

Acceptable Use Policy (AUP)

This Acceptable Use Policy (“AUP”) is an integral part of the eSIM User Agreement between you (“User,” “you”) and HiSunrise Limited (“Company,” “we,” “us”). This AUP outlines the prohibited uses of our Services and is designed to protect our Services, our network partners, and our community of users from illegal, irresponsible, or otherwise harmful activities.

By using our Service, you agree to abide by this AUP. Any capitalized terms not defined herein shall have the meaning ascribed to them in the eSIM User Agreement.

1. Prohibited Uses

You may not use, or facilitate or allow others to use, the Service for any of the following purposes:

1.1. Illegal, Fraudulent, and Harmful Activities

  • Violation of Laws: Engaging in any activity that is illegal under applicable local, state, national, or international law or regulation. This includes, but is not limited to, the transmission or storage of any material that is fraudulent, defamatory, or obscene.
  • Fraud and Impersonation: Committing fraud, creating a false identity, or impersonating any person or entity to deceive or mislead others.
  • Phishing and Security Threats: Creating or participating in phishing scams, password engineering, or any other activity designed to collect sensitive personal or financial information.
  • Malicious Software: Distributing, transmitting, or hosting viruses, malware, trojans, worms, or any other malicious or harmful code.

1.2. Network Security and Integrity Violations

  • Unauthorized Access: Accessing or attempting to access any account, network, or system without authorization. This includes probing, scanning, or testing the vulnerability of a system or network.
  • Interference: Disrupting or interfering with the proper functioning of any Service, network, or system. This includes any form of denial of service (DoS) attack.
  • Eavesdropping: Monitoring data or traffic on any network or system without the express authorization of the owner of that system or network.

1.3. Bandwidth and Resource Abuse

To ensure a high-quality and fair network experience for all users, the following activities are strictly prohibited:

  • Resale of Service: Reselling, sublicensing, transferring, or otherwise sharing the Service with any third party for commercial purposes without our express written permission.
  • Excessive High-Bandwidth Applications: Engaging in continuous, unattended, or automated high-volume data transfers or streaming. This includes, but is not limited to:
    • Operating servers of any kind (e.g., web, mail, file servers).
    • Peer-to-peer (P2P) file sharing that consumes significant bandwidth.
    • Cryptocurrency mining.
    • Broadcasting or streaming to large audiences.
  • Stationary or Tethering Abuse: Using the Service as a permanent or semi-permanent replacement for a fixed-line home or office internet connection. While personal tethering is generally permitted, using it to provide internet access to a large number of devices or for prolonged, high-consumption activities is prohibited.
  • Automated Processes: Using any automated system, including “robots” or “spiders,” that generates sustained high data usage without active user interaction.

1.4. Content and Communication Abuse

  • Spam: Sending, distributing, or facilitating the transmission of unsolicited mass email or other messages (“spam”).
  • Harassment and Offensive Content: Transmitting or storing any material that is harassing, abusive, threatening, hateful, or incites violence. This includes content that promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age.
  • Intellectual Property Infringement: Using the Service to download, publish, display, distribute, copy, or otherwise make available any text, music, software, art, image, or other work protected by copyright, trademark, patent, or other intellectual property laws without the express authorization of the owner.

2. Enforcement

We reserve the right, but do not assume the obligation, to investigate any violation of this AUP or misuse of the Services. A violation of this AUP may result in one or more of the following actions, at our sole discretion:

  • Issuing a warning.
  • Suspending your access to the Service, with or without prior notice.
  • Terminating your Account and access to the Service, with or without prior notice.
  • Reporting the activity to law enforcement or other appropriate authorities.

If we suspend or terminate your Service due to a violation of this AUP, you will forfeit any right to a refund for any prepaid fees.

3. Reporting Violations

If you become aware of any violation of this AUP, you agree to notify us immediately. You can report suspected violations to support@esimnum.com.

4. Modifications

We may modify this AUP at any time by posting a revised version on our website. The revised terms will become effective upon posting. By continuing to use the Service after any such changes, you agree to be bound by the revised AUP.
